1.3 "Contract price" means the price paid to the supplier under the contract for the full and proper fulfillment of its contractual obligations. 1.12 "Force majeure" means an event beyond the supplier's control and not involving the fault or negligence of the supplier and unforeseeable. 1.15 "Goods" means all equipment, machinery and/or other materials that the supplier is required to supply to the buyer under the contract.
Patent rights 6.1 The supplier indemnifies the customer against all claims from third parties for infringement of patent, trademark or industrial design rights. The details of shipment and/or other documents to be provided by the supplier are specified in SCC. Such notice, whether in the original bid or later, shall not relieve the supplier of any liability or obligation under the contract.
Unless otherwise directed in writing by the buyer, the supplier will continue to perform its obligations under the contract as far as is reasonably practicable, and will seek all reasonable alternative means of performance not prevented by the force majeure event.

As part of the stakeholder engagement, onboarding and training activities in the NSPDR E-lodgement application, the Proof of Concept (POC) must be presented to the municipalities that have expressed an interest in adopting the NSPDR E-lodgement system at an initial stage. The service provider must familiarize itself with the Spatial Data Partnership Protocol (SDPP) document prepared by the department to work with municipalities to share their geographic information to feed into the NSPDR ecosystem. The SDPP will inform the memorandum of understanding (MOU) between the municipality and the department regarding the requirements, roles and responsibilities of each party.
The service provider must train a minimum of 2 municipal officials identified and nominated by the municipality as part of the implementation process. The Ministry of Agriculture, Land Reform and Rural Development is seeking to appoint service provider(s) that will help engage a broad range of the NSPDR E-Lodgement stakeholders across the country, onboard municipalities and who are willing to use and apply an e-lodgement system in their own environment. Develop an engagement strategy to inform the municipal hierarchy about the benefits of e-lodgement and present the POC to the municipality for municipal buy-in.
